THE BOARD PRESIDENT REVIEWS THE CONFLICT OF INTEREST POLICY WITH THE BOARD OF GOVERNERS ANNUALLY. AFTER REVIEW, EACH BOARD MEMBER COMPLETES AND SIGNS THE CONFICT OF INTEREST STATEMENT. THESE STATEMENTS ARE THEN REVIEWED BY THE BOARD PRESIDENT AND FILED IN THE UNQUOWA SCHOOL OFFICE. BOARD MEMBERS ARE URGED TO DISCLOSE CONFLICTS AS THEY ARISE AS WELL AS TO DISCLOSE THOSE SITUATIONS THAT ARE EVOLVING THAT MAY RESULT IN A CONFLICT OF INTEREST. FOR EACH POTENTIAL CONFLICT OF INTREST DISCLOSED, THE BOARD PRESIDENT OR THE FULL BOARD, AS APPROPRIATE, WILL DETERMINE WHETHER THE ORGANIZATION SHOULD: A. TAKE NO ACTION B. DISCLOSE THE SITUATION MORE BROADLY AND INVITE DISCUSSION/RESOLUTION BY THE FULL BOARD OF WHAT ACTION TO TAKE, OR C. REFRAIN FROM TAKING ACTION AND OTHERWISE AVOID THE CONFLICT. IN SOME CASES THE BOARD MEMBER WITH THE CONFLICT MAY BE ASKED TO RECUSE HER/HIMSELF FROM SENSITIVE DISCUSSIONS, SO AS NOT TO UNDULY INFLUENCE THE DISCUSSION OF THE CONFLICT. COMPENSATION FOR THE HEAD OF SCHOOL BUSINESS MANAGER ARE DETERMINED BY THE EXECUTIVE COMMITTEE. THE PROCESS INCLUDES A REVIEW OF THE CURRENT CONTRACT, AN ANALYSIS OF SALARIES FOR SIMILAR POSITIONS AT COMPARABLE SCHOOLS IN THE AREA, AND A STUDY OF ADDITIONAL CONTRACT BENEFITS. THE COMPENSATION PACKAGE IS THEN APPROVED THROUGH AN INDEPENDENT VOTE BY THE EXECUTIVE COMMITTEE. THIS PROCESS INCLUDES INPUT AND AGREEMENT BY THE BOARD. THERE ARE NO OTHER COMPENSATED OFFICERS OR KEY EMPLOYEES UNDER THE DEFINITIONS PROVIDED IN THE INSTRUCTIONS TO THE FORM 990. |
