AS SUCH, FHSC IS ENTITLED TO ALL RIGHTS AND POWERS OF A MEMBER UNDER THE LAWS OF THE STATE OF FLORIDA, AND THE ARTICLES OF INCORPORATION AND BYLAWS OF TGMG. UNDER THE BYLAWS, CERTAIN POWERS ARE EXPRESSLY RESERVED TO FHSC: (A) ADOPT, AMEND, MODIFY OR RESTATE THE ARTICLES OF INCORPORATION OR BYLAWS OF THE CORPORATION, IN WHOLE OR IN PART; (B) APPROVE ANY AMENDMENT TO THE CORPORATION'S CHARITY OR DISCOUNTED CARE POLICIES; (C) INCUR ANY DEBT; (D) APPROVE THE CORPORATION ENTERING INTO ANY NEW SERVICE LINES; (E) APPOINT AND REMOVE THE COMMUNITY DIRECTORS AND SMT DIRECTORS, WITH OR WITHOUT CAUSE; (F) APPROVE THE ESTABLISHMENT OR DISSOLUTION OF ORGANIZATIONAL RELATIONSHIPS, INCLUDING SUBSIDIARY CORPORATIONS, PARTNERSHIPS, JOINT VENTURES, MERGERS AND CONSOLIDATIONS; (G) APPROVE THE MERGER, CONSOLIDATION, DISSOLUTION OR OTHER FUNDAMENTAL CORPORATE REORGANIZATION OF THE CORPORATION; AND (H) APPROVE THE ANNUAL CAPITAL AND OPERATING BUDGETS OF THE CORPORATION.

FORM 990, PART VI, SECTION B, LINE 12C TO ENSURE THAT TGMG OPERATES IN A MANNER CONSISTENT WITH ITS CHARITABLE PURPOSES AND THAT IT DOES NOT ENGAGE IN ACTIVITIES THAT COULD JEOPARDIZE ITS STATUS AS AN ORGANIZATION EXEMPT FROM FEDERAL TAX, PERIODIC REVIEWS ARE CONDUCTED AT LEAST ANNUALLY AND ON A CHANGE OF CIRCUMSTANCE. THE PERIODIC REVIEWS, AT A MINIMUM, INCLUDE (1) WHETHER COMPENSATION ARRANGEMENTS AND BENEFITS ARE REASONABLE, BASED ON COMPETITIVE SURVEY INFORMATION AND ARM'S-LENGTH BARGAINING, AND (2) WHETHER PARTNERSHIPS, JOINT VENTURES, AND ARRANGEMENTS WITH MANAGEMENT ORGANIZATIONS CONFORM TO TGMG'S WRITTEN POLICIES, ARE PROPERLY RECORDED, REFLECT REASONABLE INVESTMENT OR PAYMENTS FOR GOODS AND SERVICES, FURTHER TGMG'S CHARITABLE PURPOSE AND DO NOT RESULT IN INUREMENT, IMPERMISSIBLE PRIVATE BENEFIT OR IN AN EXCESS BENEFIT TRANSACTION.
FORM 990, PART VI, SECTION B, LINE 15 WITHIN THE FRAMEWORK OF APPLICABLE LAW, TGMG HAS ESTABLISHED AND MAINTAINED COMPENSATION GOALS, POLICIES, AND PROGRAMS THAT ENABLE IT TO RECRUIT, DEVELOP, AND RETAIN THE MOST QUALIFIED AND TALENTED STAFF. TGMG STRATEGICALLY INVESTS IN THE PEOPLE WHO SUPPORT ITS MISSION. COMPENSATION GOALS, POLICIES, AND PROGRAMS ARE GUIDED BY AND REFLECT OUR VALUES AND PRINCIPLES. DIFFERENCES IN PAY WILL NOT BE BASED UPON SUCH FACTORS AS RACE, RELIGION, GENDER, NATIONAL ORIGIN, ANCESTRY, AGE, MARITAL STATUS, OR DISABILITY. TO ENSURE THAT TGMG IS PAYING REASONABLE COMPENSATION AND NOT VIOLATING THE PRIVATE INUREMENT PROHIBITION, THE COMPENSATION COMMITTEE ANNUALLY REVIEWS AND SETS THE COMPENSATION OF OFFICERS, THE EXECUTIVE GROUP AND KEY EMPLOYEES. THE COMMITTEE UTILIZES THE OUTSIDE CONSULTING FIRM OF TOWERS WATSON TO PROVIDE EXPERT INFORMATION REGARDING INDUSTRY-WIDE COMPENSATION NORMS. TGMG UTILIZES AN OUTSIDE CONSULTING FIRM TO REVIEW THE COMPENSATION ARRANGEMENTS OF EMPLOYED PHYSICIANS FOR COMPLIANCE WITH ALL APPLICABLE LAWS.
FORM 990, PART VI, SECTION C, LINE 19 TAMPA GENERAL MEDICAL GROUP WILL MAKE THE FOLLOWING DOCUMENTS AVAILABLE TO THE PUBLIC: (1) ARTICLES OF INCORPORATION AND AMENDMENTS THERETO; (2) BYLAWS; (3) CONFLICT OF INTEREST POLICY; AND (4) IRS FORM 990.
