THE ORGANIZATION'S CEO IS PAID THROUGH ITS PARENT ORGANIZATION, CAPE COD HEALTHCARE INC. THE PARENT ORGANIZATION ESTABLISHES COMPENSATION OF THE ORGANIZATION'S CEO THROUGH THE USE OF A COMPENSATION COMMITTEE, AN INDEPENDENT COMPENSATION CONSULTANT, THE FORM 990 OF OTHER ORGANIZATIONS, A COMPENSATION SURVEY, AND APPROVAL BY THE BOARD OR COMPENSATION COMMITTEE. SCHEDULE J, PART I, LINE 4A - SEVERANCE SHERYL DECILIO (VP PATIENT FIN SVC & REV CYCLE) RECEIVED SEVERANCE PAYMENTS OF $287,000 DURING CALENDAR YEAR 2021. THE ARRANGEMENT PROVIDES FOR CONTINUED PAYMENT OF THE INDIVIDUAL'S SALARY AND BENEFITS FOR A PERIOD OF TWELVE MONTHS. TWELVE PERCENT OF HIS BASE SALARY WAS CONTRIBUTED AND EACH CONTRIBUTION IS SUBJECT TO A THREE YEAR VESTING SCHEDULE. THE AMOUNT DEFERRED IN CALENDAR YEAR 2021 WAS $118,800 AND IS INCLUDED IN SCHEDULE J, PART II, COLUMN (C). IN ADDITION, $143,833 WAS PAID OUT FROM HIS CEO SUPPLEMENTAL PLAN, AND IS INCLUDED IN SCHEDULE J, PART II, COLUMN B(III). ALSO, DURING CALENDAR YEAR 2021, MICHAEL LAUF PARTICIPATED IN LONG-TERM INCENTIVE PLANS. THE PLANS PROVIDE FOR MERIT-BASED COMPENSATION BASED UPON CERTAIN QUALITY AND FINANCIAL METRICS OF THE ORGANIZATION. $1,125,000 WAS PAID OUT DURING CALENDAR YEAR 2021 AND IS INCLUDED IN SCHEDULE J, PART II, COLUMN B(II). $93,750 of accrued funds relating to the long-term investment plan are included as part of Schedule J, Part II, Column C.
