CORE FORM 990 Part VI, Section A, Line 6 Membership in the Association is open to individuals, groups, business concerns and other organizations. Part VI, Section A, Line 7a, 7b The Nominating Committee shall consist of five (5) members, all of whom shall be members of the Board of Trustees. If a member of the Nominating Committee wishes to become an officer of the Board of Trustees, he must tender his resignation from the Nominating Committee prior to election. The members of the Nominating Committee shall be elected at the first meeting of the Board of Trustees following the annual meeting for a renewable term of one (1) year by the Board of Trustees from a slate presented by the Executive Committee. The Nominating Committee shall appoint a chairman from among the members of the Committee for a term of one (1) year. The Nominating Committee shall meet throughout the year, and must report to the Board of Trustees on the status of the Board development process at each meeting of the Board. The Nominating Committee shall recommend a slate of officers to the Board of Trustees at the meeting of the Board prior to the annual meeting, and shall periodically report to the Board on the succession process of officers. Part VI, Section B, Line 11B FORM 990 IS PROVIDED TO The executive committee for review in draft. The executive committee reviews the return and provides comments to the tax preparer, which is a reputable CPA form in form 990 preparation. Upon completion of the draft, the form 990 is provided to all board members prior to filing. Part VI, Section B, Line 12C The Association has A WRITTEN CONFLICT OF INTEREST POLICY WHICH REQUIRES ALL BOARD MEMBERS TO SIGN AND RETURN A COPY OF THE CONFLICT OF INTEREST FORM DISCLOSING WHETHER CONFLICTS EXIST. Part VI, Section B, Line 15 Compensation decisions are delegated to the Executive Committee of the Board of Directors (personnel committee. There is a formal job description for each staff position. In establishing compensation for each position, the Executive Committee reviews compensation information for comparable local positions. For positions particular to the museum sector salary survey information from the American Alliance for Museums is consulted. Bonuses and changes in compensation for individual employees are based on employee performance and contribution to mission. The Director's compensation is evaluated on an annual basis by the President and select members of the executive committee and approved by the board of directors. Part VI, Section C, Line 19 GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY AND FINANCIAL STATEMENTS ARE AVAILABLE TO THE PUBLIC UPON REQUEST.
