THE BOARD CONSIDERS SIMILAR NONPROFIT ORGANIZATIONS IN BENCHMARKING AGAINST A PEER GROUP, LOOKS AT PERFORMANCE OF THE CEO, AND RECOMMENDS A SALARY AND POSSIBLY A BONUS AMOUNT FOR THE PERIOD UNDER REVIEW.
