Form 990, Part VI, Section A, line 6 The organization has three classes of membership: Professional members, Registered members, and Student members. Professional and Registered members are entitled to vote on the election of directors and the amendment of governing documents. Student members do not have voting rights.
Form 990, Part VI, Section A, line 7a Directors may be nominated by the Board or by petition of the members of SME. If more than one candidate is nominated for an open position, the individual receiving the most affirmative votes of members is deemed to be elected.
Form 990, Part VI, Section A, line 7b Members have the authority to take matters to a vote at meetings as decided by the Members. Members may also take action to amend the governing documents of the Society.
Form 990, Part VI, Section B, line 11b Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management. The reviewed Form 990 is then provided to the board of directors prior to filing with the IRS.
Form 990, Part VI, Section B, line 12 Board members receive a copy of the organization's Conflict of Interest Policy as part of their board introduction packet and disclose potential conflicts of interest upon joining the board. Any conflicts thereafter are disclosed as they become known. Board members lacking independence on an issue withdraw themselves from the decision-making process.
Form 990, Part VI, Section B, line 15 Compensation offered to the organization's Executive Director is established by an independent third party consultant. This consultant conducts a study of similar organizations in similar industries when determining appropriate salary and benefits for the position. Independent members of the board discuss and approve the compensation package, and a written employment contract is put into place. This process take place on an annual basis. The board of Directors entrusts the Executive Director with determining compensation for other officers of the organization. Compensation of officers is based on comparability studies of similar positions within the industry. This process takes place on an annual basis.
