THE ORGANIZATION HAS ENTERED INTO A MANAGEMENT CONTRACT WITH SMITHBUCKLIN CORPORATION. UNDER THE TERMS OF THIS CONTRACT, WDMA MAKES PAYMENTS TO SMITHBUCKLIN CORPORATION WHICH COVER STAFF SALARIES AND OTHER OVERHEAD EXPENSES. THE FEES INCURRED BY WDMA DURING THE YEAR ENDED DECEMBER 31, 2022 WERE $1,441,261, WHICH WERE FOR EXECUTIVE DIRECTOR/MANAGEMENT AND HEADQUARTERS $243,477, MEMBERSHIP AND OPERATIONS, TECH IMAGE-PUBLIC RELATIONS, FINANCIAL MANAGEMENT AND ACCOUNTING SERVICES, EVENT SERVICES, MARKETING AND COMMUNICATIONS SERVICES, AMS PLATFORM AND SUPPORT, EDUCATION AND LEARNING SERVICES, CONTENT SERVICES, SITE SELECTION AND CONTRACTING, INFORMATION TECHNOLOGY SERVICES, PROMOTIONAL PRODUCTS AND SUPPORT, AND WEB CONFERENCE TOOL AND SUPPORT. SMITHBUCKLIN'S PERFORMANCE UNDER THIS AGREEMENT IS MONITORED BY THE BOARD OF WINDOW AND DOOR MANUFACTURERS ASSOCIATION. |

THE ASSOCIATION HAS THREE CLASSES OF MEMBERS - REGULAR MEMBERS: ANY INDIVIDUAL, FIRM OR CORPORATION (HEREIN COMPANY) MAY BECOME A REGULAR MEMBER OF THIS ASSOCIATION ENTITLED TO THE PRIVILEGES AND SUBJECT TO THE LIMITATIONS OF REGULAR MEMBERSHIP CONTAINED IN THESE BYLAWS, UPON MAKING APPLICATION IN WRITING FOR SUCH REGULAR MEMBERSHIP TO THE ASSOCIATION AND UPON APPROVAL OF ITS APPLICATION BY THE BOARD OF DIRECTORS, PROVIDED SUCH COMPANY IS ENGAGED IN THE OPERATION OR OPERATIONS WITHIN NORTH AMERICA IN THE MANUFACTURE OF WINDOW, DOOR AND/OR SKYLIGHT UNITS. IN THE MANAGEMENT OF THE AFFAIRS OF THE ASSOCIATION EACH REGULAR MEMBER SHALL HAVE ONE VOTE. ANY WDMA REGULAR MANUFACTURER MEMBER IN GOOD STANDING WHICH PRODUCES ARCHITECTURAL DOORS MAY ELECT TO BE CONSIDERED MEMBERS OF THE NATIONAL ARCHITECTURAL DOOR COUNCIL. SUPPLIER MEMBERS: ANY COMPANY MAY BECOME A SUPPLIER MEMBER OF THE ASSOCIATION IF IT SUPPLIES PRODUCTS OR SERVICES RELATED TO THE PRODUCTION OF PRODUCTS PRODUCED BY THE REGULAR MEMBERSHIP; WISHES TO CONTRIBUTE TO THE WORK OF THE ASSOCIATION; AND DOES NOT QUALIFY FOR REGULAR MEMBERSHIP. HOWEVER, ANY PERSON OR COMPANY THAT PROVIDES GOODS OR SERVICES THAT, IN THE SOLE DISCRETION OF THE BOARD OF DIRECTORS, COMPETES WITH ANY PRODUCT OR SERVICE PROVIDED BY WDMA SHALL NOT BE ELIGIBLE FOR MEMBERSHIP. SUPPLIER MEMBERS SHALL BE ENTITLED TO THE PRIVILEGES AND SUBJECT TO THE LIMITATIONS OF SUPPLIER MEMBERSHIP, AS SET FORTH IN THE BYLAWS, UPON MAKING APPLICATION IN WRITING FOR SUPPLIER MEMBERSHIP TO THE ASSOCIATION AND UPON APPROVAL OF ITS APPLICATION BY THE BOARD OF DIRECTORS. SUPPLIER MEMBERS SHALL HAVE THE RIGHT TO RECEIVE NOTICE OF AND ATTEND ASSOCIATION MEETINGS AND RECEIVE ASSOCIATION COMMUNICATIONS AND REPORTS TO THE EXTENT AND IN THE MANNER SPECIFIED BY THE BOARD OF DIRECTORS. SUPPLIER MEMBERS SHALL NOT BE ENTITLED TO HOLD OFFICE OR VOTE, EXCEPT AS OTHERWISE PROVIDED HEREINAFTER. PROFESSIONAL MEMBERS: ANY INDIVIDUAL WHO PRACTICES A PROFESSION THAT IS UNIQUELY RELATED TO OR AFFECTED BY THE WORK OF THE ASSOCIATION (E.G.. ARCHITECT, BUILDER, SPECIFIER, ETC.) AND WHO WISHES TO CONTRIBUTE TO THE WORK OF THE ASSOCIATION MAY BECOME A PROFESSIONAL MEMBER OF THIS ASSOCIATION. PROFESSIONAL MEMBERS SHALL BE ENTITLED TO THE PRIVILEGES AND SUBJECT TO THE LIMITATIONS OF PROFESSIONAL MEMBERSHIP AS SET FORTH IN THE BYLAWS, UPON MAKING APPLICATION IN WRITING FOR PROFESSIONAL MEMBERSHIP TO THE ASSOCIATION AND UPON APPROVAL OF ITS APPLICATION BY THE BOARD OF DIRECTORS.
