The conflict of interest policy requires each director, officer, and key employee to disclose annually any financial interests that could give rise to a conflict of interest. The Board of Directors, or a committee of the Board, determines whether any proposed transaction creates a conflict of interest, and if so, reviews the transaction. Any person with a conflict of interest may answer questions and provide information to the Board or committee, but may not participate in the Board's or committee's deliberation about or vote on the proposed transaction. |
