Form 990, Part VI, Section A, line 4 In December 2022, the requirement for approval of expenses over $100,000 was removed from the bylaws.
Form 990, Part VI, Section A, line 7a MoveOn.org Civic Action ("MOCA") has the power to appoint and remove directors and to fill vacancies on the Organization's board.
Form 990, Part VI, Section A, line 7b MOCA's consent is required to approve the disposition of all or substantially all the Organization's assets; a transaction that would obligate the Organization to incur a debt of more than $100,000; and any amendment of the Organization's Bylaws or Articles of Incorporation.
Form 990, Part VI, Section B, line 11b The Form 990 was prepared by outside accountants and reviewed by the CFO and the Organization's legal counsel. A complete copy of the return was provided to the board before filing.
Form 990, Part VI, Section B, line 12c The conflict of interest policy covers each director, officer, board committee member, and key employee of MoveOn Education Fund. Under the policy, each covered person must (a) sign a statement that he or she has received a copy of the policy, has read and understood it, and has agreed to comply with it, (b) make the nature of his or her conflict known as it arises, and (c) excuse himself or herself from any discussion and voting related to the conflicted transaction. In addition, each MoveOn Education Fund officer, director and key employee is required to annually complete a conflict of interest disclosure form disclosing any financial interests and family relationships that could give rise to conflicts of interest. MoveOn Education Fund annually reviews the disclosure forms and monitors compliance with the policy on an ongoing basis.
Form 990, Part VI, Section B, line 15 The organization does not compensate any of its officers. However the officers of the related organization, MoveOn.Org Civic Action, are compensated.
Form 990, Part VI, Section C, line 19 The organization makes its articles of incorporation, bylaws, conflict of interest policy and financial statements available to the public upon request.

The scope of the Executive Committee's authority is as follows: - In addition to any other Board Committees established pursuant to the bylaws, this corporation has an Executive Committee, which is a Board Committee. The Executive Committee is composed of at least two current directors of this corporation elected in accordance with the bylaws. The Executive Committee has all of the authority of the Board of Directors between regular or special meetings of the Board of Directors, except as provided in Section 1 of this Article or as otherwise provided by the Board of Directors in specific instances. Actions of the Executive Committee are reported to and reviewed by the Board of Directors at its next regularly scheduled meeting. Form 990, Part IX, line 24a: During the year ended December 31, 2022, MoveOn Education Fund (MOEF) and related entity MoveOn.org Civic Action (MOCA) were parties to a services and resources agreement pursuant to which MOCA provides certain support services and other resources to MOEF in exchange for a monthly fee of $40,000. The parties determined the fee based on MOCA's anticipated costs of providing such services and resources; the fee is subject to periodic adjustment to ensure that MOEF will pay no more than MOCA's cost in providing the services and resources. Total fees paid by MOEF to MOCA during the year ended December 31, 2022 were $361,428 after adjustments to align with actual cost for the years ended December 31, 2021, and December 31, 2022.
