Form 990, Part VI, Section A, line 2 Dr. Naveed Mallick, Board Member, and Muaz Jondy, Board Member, have a family relationship. The following individuals have a business relationship in relation to Insight Management and Consulting Services, Inc. (IMCS), Atif Bawahab (Chief Strategy Officer of IMCS), Ali Madha (Chief Operating Officer of IMCS), Atiq Nakrawala (Chief Financial Officer of IMCS), Nadir Ijaz (employee of IMCS), Baseer Tajuddin (employee of IMCS), Kaleem Qazi (employee of IMCS), and Maryum Rasool (employee of IMCS). In addition, the sole owner of IMSC is Chairman Emeritus (non-voting board member) of Insight Chicago.
Form 990, Part VI, Section A, line 3 Certain functions of key employees (for example: service line leadership, administrative leadership, legal, finance, RCM integrity, pharmacy services, laboratory Services, radiology services) are managed by a third-party management company, Insight Management and Consulting Services, Inc. (IMCS). Insight Chicago paid IMCS $12,695,134 in management fees during the tax year. The following Officers and Board of Directors of Insight Chicago are compensated by IMCS for services provided to Insight Chicago: Atif Bawahab, CEO - $400,00 Ali Madha, COO - $400,000 Atiq Nakrawala, CFO - $100,000 Baseer Tajuddin, Legal Counsel - $150,000
Form 990, Part VI, Section A, line 7a The Firdaus Foundation shall appoint at least three (3) Directors (the "Firdaus Directors").
Form 990, Part VI, Section A, line 7b Firdaus Foundation has authority and reserved powers to make governance decisions.
Form 990, Part VI, Section B, line 11b The Accounting and legal team met internally to review and respond to the questionnaire working with the independent accounting firm on completion of the 990. Once the 990 is finalized, the Accounting team will review key items with leadership.
Form 990, Part VI, Section B, line 12c Before any vote in a meeting for the Board of Directors, Board Members and Officers are asked whether they have any conflicts on voting on certain matters - and are required to abstain from voting on such matters. Key employees are required to disclose any conflicting interests before starting and are monitored accordingly. Any prospective business that the entity might engage in discloses if it has any ties with anyone at Insight Chicago. If concerns are brought regarding potential conflicts of interests, they are investigated by legal or outside counsel.
Form 990, Part VI, Section B, line 15 Compensation for executive contracts or independent contractors are presented to the Board of Directors for approval. Along with the individual, title, role - the proposed compensation, and whether it meets fair market value (and how fair market value was determined in each instance) is provided to the board. Examples of how fair market value is determined include independent analysis, competing offers the individual received, and if there is some third party that lists such compensation for the area.
