Form 990, Part VI, Section A, line 1a An Executive Committee shall be appointed and consist of the following persons: President, Vice President, Secretary, Treasurer, and Past President. The Executive Committee, when the Board of Directors is not in session, shall have and may exercise all of the authority of the Board of Directors except to the extent, if any, that such powers and authority shall be limited by resolution of the Board of Directors and except also that the Executive Committee shall not have the authority of the Board of Directors in reference to amending the Articles of Incorporation, adopting a plan of merger or consolidation, recommending to the members the sale, lease or other disposition of all or substantially all of the assets of the Corporation otherwise than in the usual and regular course of its business, recommending to the members a voluntary dissolution of the Corporation or a revocation thereof, or amending the Bylaws of the Corporation. Regular meetings of the Executive Committee may be held without notice at such times and places as the Executive Committee may fix from time to time. Special meetings of the Executive Committee may be called by any member. A majority of the members of the Executive Committee shall constitute a quorum for the transaction of business at any meeting thereof and any action of the Executive Committee must be authorized by the affirmative vote of a majority of the members present at a meeting at which a quorum is present. Any action required or permitted to be taken by the Executive Committee at a meeting may be taken without a meeting if a consent in writing, setting forth the action so taken, shall be signed by all of the members of the Executive Committee. The Executive Committee may establish its own rules of procedure which shall not be inconsistent with these Bylaws. It shall keep regular minutes of its proceedings and report the same to the Board of Directors for its information at the meeting thereof held next after the proceedings shall have been taken.
Form 990, Part VI, Section B, line 11b The Form 990 is provided to the governing board prior to filing with the IRS. The Executive Director reviews the Form 990.
Form 990, Part VI, Section B, line 12c Board members and the Executive Director are required to review and disclose any potential conflicts of interest at the annual meeting. Individuals are asked to inform the Executive Committee of any potential conflicts as they arise throughout the year. Potential conflicts are reviewed and discussed by the Executive Committee. If a conflict of interest is determined to exist the individual will be asked to not vote on the matter and may be required to leave the meeting.
Form 990, Part VI, Section B, line 15a The Executive Director's compensation is reviewed and determined annually by the board members based on data from the annual performace review. Comparability data is used based on review of similar position pay ranges in Dubuque County. The process and determination is documented in the board minutes.
Form 990, Part VI, Section C, line 19 The Organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
