COMPENSATION FOR ALL OFFICERS, DIRECTORS, AND KEY EMPLOYEES IS DETERMINED BY THE COMPENSATION COMMITTEE, WHICH IS COMPRISED OF MEMBERS OF THE BOARD OF DIRECTORS. THE DETERMINATION OF COMPENSATION IS BASED ON A COMPARABILITY STUDY THAT IS PREPARED EVERY OTHER YEAR BY AN OUTSIDE HUMAN RESOURCES FIRM.
